1. Acceptance of terms

Welcome to Kimpton AI (“Kimpton,” “we,” “us,” or “our”). By accessing or using our portfolio-aware market intelligence platform, you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, please do not use our services.

These Terms apply to all users of Kimpton, including individual subscribers and enterprise clients. Your use is also governed by our Privacy Policy and, for customers who execute one, our Data Processing Agreement.

2. Description of service

Kimpton provides AI-powered market research and portfolio analysis tools, including:

• Personalized market insights based on connected portfolio holdings
• Deep research capabilities for exploring market questions
• Real-time and historical market data analysis
• AI-generated investment research and commentary

3. Important disclaimer: not investment advice

Kimpton is an informational tool only. The content, insights, and analysis provided by Kimpton do not constitute investment advice, financial advice, trading advice, or any other sort of advice.

You should not make any investment decision based solely on information provided by Kimpton. Always consult with a qualified financial advisor before making investment decisions.

Past performance of any investment is not indicative of future results. All investments involve risk, including possible loss of principal.

4. Account registration

To use Kimpton, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Promptly update any information that becomes inaccurate
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

You must be at least 18 years old to use Kimpton.

5. Portfolio connections

By connecting your brokerage accounts to Kimpton, you:

• Authorize us to access read-only information about your holdings and account balances
• Understand that Kimpton uses secure third-party services (like Plaid) for connections
• Acknowledge that Kimpton cannot execute trades or move funds on your behalf
• May disconnect your accounts at any time through your account settings

6. Subscription and billing

6.1 Pilots and enterprise plans

Kimpton offers paid pilots and enterprise plans with custom usage limits and commercial terms. Contact info@kimpton.ai for pilot or enterprise pricing. Self-serve subscriptions may include limited trial queries; details are provided at the time of signup.

6.2 Paid subscriptions

Paid subscriptions are billed on a recurring basis. By subscribing, you authorize us to charge your payment method for the applicable fees.

6.3 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial periods.

6.4 Price changes

We may change our prices with 30 days’ notice. Continued use after a price change constitutes acceptance of the new pricing.

7. Acceptable use

You agree not to violate our Fair Use Policy or to:

• Use Kimpton for any unlawful purpose
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the service
• Reverse engineer, decompile, or disassemble our software
• Use automated means to access the service beyond intended usage
• Redistribute, resell, or sublicense access to Kimpton
• Use our service to generate content that violates third-party rights

8. Intellectual property

All content, features, and functionality of Kimpton — including but not limited to text, graphics, logos, icons, algorithms, and software — are owned by Kimpton AI or its licensors and protected by intellectual property laws.

You retain ownership of any data you provide to Kimpton. By using our service, you grant us a limited, non-exclusive license to use this data solely to provide and operate the service for you. Customer portfolio data, research queries, and analysis results are not used to train AI models, and are not used to develop products or services for other customers.

9. Limitation of liability

To the maximum extent permitted by law:

• Kimpton is provided “as is” without warranties of any kind
• We do not guarantee the accuracy, completeness, or timeliness of any information
• We are not liable for any investment losses or damages arising from your use of Kimpton
• Our total liability shall not exceed the amount you paid us in the past 12 months

10. Indemnification

You agree to indemnify and hold harmless Kimpton AI, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the service or violation of these Terms.

11. Modifications to service

We reserve the right to modify, suspend, or discontinue any part of Kimpton at any time. For paying customers, we will provide at least 30 days’ advance notice of any material adverse change to the service. We are not liable for modifications, suspensions, or discontinuations made consistent with this section.

12. Termination

We may suspend or terminate your account for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. For paying customers, we will provide written notice and a reasonable opportunity to cure (typically 14 days) before terminating for material breach, except where immediate suspension is required to protect the security or integrity of the service. Upon termination, your right to use Kimpton ceases and we will return or delete Customer Data in accordance with our Data Processing Agreement and Privacy Policy.

13. Governing law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Delaware.

14. Changes to terms

We may update these Terms from time to time. We will notify you of material changes by posting the new Terms on this page and updating the “Last updated” date. Your continued use of Kimpton after changes constitutes acceptance of the revised Terms.
